Butt Free Australia: Documents

Butt Free Australia, a public company limited by guarantee was appointed as the corporate trustee for the Butt Littering Trust in August 2010.

The Trust Deed is Butt Free Australia’s overall governing document and clearly sets out its operating principles. As a company, Butt Free Australia is also governed by its Constitution and the Corporations Act 2001 (Cth).

The Deed also sets out a detailed Governance Protocol under which the Trustees must operate:

• The Trust must be independent, objective, constructive and robust in addressing the cigarette butt littering issue.
• The Trust will operate on a consensus model and all Trustees' viewpoints will be equally regarded, valued and accepted in good faith.
• The highest possible standard of transparency in deliberations and operations must be maintained, including publication of the Trust's minutes and other forms of communication to stakeholders on its website.
• Trustees must declare any conflict of interest or any potential conflict of interest during Trustee deliberations and refrain from participating in any decision that may materially benefit an organisation with which they are directly affiliated.

Butt Free Australia takes these obligations seriously and ensures all proceedings are open to public scrutiny through the posting of minutes and other documents on its website.

In line with the Trust Deed, Executive Reports and Audited Financial Reports are also posted on the website, together with the policies that guide day-to-day operations.
